Key words Commercial Law
Objectives The purpose of the course is to prepare the students for working with legal techniques and instruments in a commercial environment.
Prerequisites The knowledge, insights and skills acquired in the course "Introduction to Law" in the first year and in the course "Law of Obligations" in the second year.
Topics The course contains four major parts:Part I looks at the traditional commercial law, the law applicable to "merchants".Part II studies the legal organization of commercial activity (rights and duties of entrepreneurs, legal rules applicable to the economic entity and its components including commercial leases and industrial property, legal structuring of contacts with suppliers and distributors).Part III covers some specific commercial transactions or instruments, such as leasing, factoring, commercial paper, bills of exchange, etc. Part IV studies the legal process dealing with the economic failure of a company, in particular bankruptcy and legal mechanisms to avoid bankruptcy.
