Trefwoorden International Business Transactions
Doelstellingen The objective of the course is to provide an introduction to the legal aspects peculiar to cross border or international commercial transactions. By studying some typical problems, the students are expected to develop a basic intuitive feeling that should protect them from the most common legal pitfalls of international business. This should allow them to cooperate with lawyers in avoiding or solving possible legal complications.

1. Introduction: The Different Actors in International Business
2. The Regulatory Environment:
a. Trade Regulation (GATT, Anti-Dumping and Countervailing Duties Remedies)
b. Currency Regulation (Currencies in International Trade, I.M.F., Exchange Controls)
c. Anti-Trust Regulation (Introduction to US and EC Competition Law and procedures)
3. Typical International Transactions:
a. Sales of Goods (Documents Used in International Sales Transactions, Incoterms)
b. Distribution Arrangements (Agents & Distributors, Termination &
Antitrust Problems)
c. Technology Transfer (Licensing Intellectual Property & Antitrust Problems)
d. Direct Investment (Regulation, Risks, Privatization, Expropriation)
4. International Dispute Resolution: Foreign Court Proceedings and International Arbitration
5. Choosing the Structure and Form for International Business: Tax Aspects
Onderwijsvormen The students are required to prepare for each class by studying the assigned part of the course materials. The classes themselves take the form of group discussions on different aspects and problems treated by the prepared materials. Some classes may take the form of guest lectures by professionals active in the field of international business.
Studiematerialen A set of reading materials will be available at the start of the semester at a price corresponding to the reproduction charges.
Studiebegeleiding One two hour class per week, from the beginning of October till the Christmas break.
Beoordeling After the Christmas break the students will take a written open book exam. Active class participation will also be graded. Therefore, only students effectively participating during the semester will be able to receive a grade for this course.
