Objectives
The purpose of the course is to prepare the students for working with legal techniques and instruments in a commercial environment.

Topics
The course contains four major parts:Part I looks at the traditional commercial law, the law applicable to "merchants".Part II studies the legal organization of commercial activity (rights and duties of entrepreneurs, legal rules applicable to the economic entity and its components including commercial leases and industrial property, legal structuring of contacts with suppliers and distributors).Part III covers some specific commercial transactions or instruments, such as leasing, factoring, commercial paper, bills of exchange, etc. Part IV studies the legal process dealing with the economic failure of a company, in particular bankruptcy and legal mechanisms to avoid bankruptcy.

Prerequisites
The knowledge, insights and skills acquired in the course Introduction to Law in the first year and in the course Law of Obligations in the second year.

Final Objectives


Materials used
A text written by the teacher, summarizing the theory of commercial law; a codex with the most frequently used statutes.

Study costs
The teacher's text costs approximately 5 Euros; the codex costs 30 to 45 Euros, depending on the edition chosen.
